User Agreement (Public Offer)

1. General provisions

This document is a public offer by Era Developers Studio (the “Provider”) to enter into an agreement on the use of EraTrack, a time tracker with project profitability (the “Service”): the web application at app.eratrack.eradev.tech and the website eratrack.eradev.tech — on the terms set out below (the “Agreement”). This document is a public offer under Article 437 of the Civil Code of the Russian Federation.

Any of the following actions constitutes acceptance of the offer (Article 438(3) of the Civil Code of the Russian Federation):

  • registering with the Service;
  • starting a free trial of a paid plan;
  • paying for a paid plan.

The Agreement is concluded upon acceptance. Acceptance means that the user has read the Agreement and accepts it in full, without exceptions or reservations. A user who does not agree with the Agreement should not use the Service.

The Service is in closed testing: features are being refined together with the teams that use it.

The Privacy Policy, Cookie Policy and Refund Policy published on the website form part of the Agreement.

2. Subject of the Agreement

The Provider gives the user online access to the features of the Service within the selected plan, and a user who has chosen a paid plan pays for it as set out in the Agreement.

The Service runs in a browser and requires no software installation. Access is provided to the user’s account and to the organizations the user is a member of.

3. Account

  • The Service may be used by a person with full legal capacity aged 18 or over, including on behalf of the organization they work for.
  • When registering, the user provides a valid email address and accurate information.
  • The user is responsible for keeping their password safe and for actions performed in their account. We recommend enabling two-factor authentication.
  • If the user suspects that someone else has gained access to the account, they change the password, end unfamiliar sessions in the account settings and notify the Provider via email at support@eratrack.net or Telegram at t.me/eratrack.

4. Organizations and roles

  • The user who creates an organization becomes its owner. The owner and administrators invite members and assign them roles: administrator, accountant, manager, employee.
  • A role determines what a member can see and change. Financial data — rates, revenue, cost, profit — is available only to the owner, administrator and accountant.
  • A role applies to a specific organization: one person can be the owner of their own organization and an employee in someone else’s.
  • The organization, through its owner, is responsible for having legal grounds to enter members’ and clients’ data into the Service and for its members’ actions in the Service.

5. Plans and free trial

  • Solo is a free plan for one member.
  • Team (up to 10 members) and Business (up to 50 members) are one-month subscriptions per organization. The price is listed in US dollars on the pricing page of the website and applies as of the moment of payment.
  • Both paid plans come with a 30-day free trial, granted once per organization. No fee is charged for the free trial.
  • Enterprise (no member limit) is available on individually agreed terms.

The Provider may change plan prices by publishing the new prices on the pricing page at least 7 (seven) calendar days before they take effect. New prices do not apply to periods already paid for.

6. Payment

  • A paid plan is paid for in US dollars, as a 100% prepayment for one month.
  • Each following month is paid for separately and manually. The Service makes no automatic charges and does not store card details for repeat payments.
  • Payment is made through the payment system connected to the Service, using any method it offers. Card details are entered on the payment system’s side and are not passed to the Provider.
  • Payment is deemed made once the payment system has confirmed it. After confirmation, the organization’s paid plan is active for the paid month.
  • Proof of payment is the electronic notification the payment system sends to the payer.
  • If the payer’s bank converts the amount from another currency, the exchange rate and conversion fee are set by the bank.
  • The Provider is not liable for payment delays caused by circumstances beyond its control: failures of the payment system, the acquiring bank or the payer’s bank.

If the free trial or a paid period has ended and the next month has not been paid for, an organization on a paid plan switches to read-only mode: all data remains viewable, but it cannot be changed. The organization can leave this mode by paying for the plan, by changing its plan — for example, switching to Solo — or by freeing up seats: blocking or archiving extra members.

Payment acceptance is being connected to the Service. Until payment is available in the Service, paid plans are available only as a free trial and no fee is charged.

7. Refunds

The user may request a refund of a monthly payment within 14 calendar days of the payment date. If the Provider stops providing the Service, it refunds the unused part of the paid period. The refund procedure and timelines are set out in the Refund Policy.

8. User data

  • Data that users enter into the Service — time entries, projects, clients, rates — belongs to the users and their organizations. The Provider acquires no rights to it.
  • The Provider stores and processes this data only to run the Service: to show it to organization members within their roles and to perform calculations.
  • A time report can be exported to CSV from the reports section. Full data export and import are not available yet.
  • Profitability calculations are based on the rates, project terms and exchange rates entered by the organization. The user is responsible for the accuracy of this input and for decisions made based on the calculations.

9. Acceptable use

The user must not:

  • use the Service for activities that violate the law;
  • attempt to access other people’s accounts, organizations or data;
  • exploit vulnerabilities they find — these should be reported to the Provider as described on the Security page;
  • bypass the Service’s limits or create load that disrupts its operation, including through automated requests;
  • enter third parties’ data into the Service without legal grounds.

10. Provider’s rights and obligations

The Provider undertakes to:

  • provide access to the Service within the plan during the free trial and the paid period;
  • answer users’ questions about the Service via email at support@eratrack.net or Telegram at t.me/eratrack;
  • where possible, give advance notice of planned maintenance that makes the Service unavailable.

The Provider may:

  • suspend the Service for maintenance;
  • change, add and remove features of the Service;
  • restrict access to an account or organization if the user violates the Agreement;
  • stop providing the Service, refunding the unused part of the paid period.

11. Availability and liability

The Service is provided “as is”. The Provider strives to keep it running reliably, but during closed testing does not guarantee uninterrupted operation, the absence of errors or that the Service will meet the user’s expectations.

The Provider is not liable for the quality of the user’s internet connection, for the actions of third parties — payment systems, hosting providers, telecom operators — or for incompatibility of the user’s devices or browser with the Service.

To the extent permitted by law, the Provider is not liable for lost profits or indirect losses arising from the use of, or inability to use, the Service. The Provider’s liability is limited to the amount the user paid for the current paid period.

12. Term and termination

  • The Agreement is effective from acceptance until the user’s account is deleted.
  • The user can stop using the Service at any time by deleting their account in the settings. An owner of an organization that has other active members first transfers ownership to one of them or blocks or archives the other members. What happens to data on deletion is described in the Privacy Policy, and refunds in the Refund Policy.
  • The user can cancel a paid plan by not paying for the next month or by switching to Solo.
  • If the user materially breaches the Agreement, the Provider may terminate it unilaterally by notifying the user by email.

13. Changes to the Agreement

The Provider may change the Agreement. A new version is published on this page with its version date and takes effect when published, unless it specifies otherwise. By continuing to use the Service after publication, the user accepts the new version.

14. Governing law and disputes

The Agreement is governed by the laws of the Russian Federation.

Disputes are resolved through negotiation. Before going to court, the user sends a claim to the Provider via email at support@eratrack.net or Telegram at t.me/eratrack; the Provider responds within 30 days. If the dispute cannot be settled, it is heard in court in accordance with the laws of the Russian Federation.

15. Final provisions

Acceptance of the offer is equivalent to concluding the Agreement in writing (Article 434(3) of the Civil Code of the Russian Federation).

If a court finds any provision of the Agreement invalid, the remaining provisions stay in effect.
